Henan Jindan Lactic Acid Technology Co., Ltd. is a leading Chinese enterprise specializing in the R&D, production, and sales of lactic acid and its derivatives, widely used in food, pharmaceuticals, and environmental protection. 金丹科技依照《聯(lián)合國企業(yè)與人權指導原則》以ESG管理要求建立供應商商業(yè)行為準則。

Jindan Technology has established the Supplier Business Code of Conduct following the UN Guiding Principles on Business and Human Rights， and the requirements of ESG management.

希望供應商或業(yè)務伙伴支持并努力履行規(guī)定的要求，包括環(huán)境、社會和人權方面，以及在質量和食品安全方面的期望。

It is expected that suppliers or business partners will support and strive to fulfill the specified requirements, including those in the aspects of the environment, society, and human rights, as well as the expectations regarding quality and food safety.

在本行為準則中，凡提及 "供應商 "時，均應解釋為也指 "業(yè)務合作伙伴"。

In this Code of Conduct, whenever the term "supplier" is mentioned, it shall be construed as also referring to "business partner".

二、質量與食品安全 / Quality & Food Safety

1、質量控制（Quality Control）

供應商須建立符合ISO 9001標準的全流程質量管理體系，確保原材料、生產過程及成品符合中國GB標準、FDA或歐盟法規(guī)（如適用）。

Suppliers shall establish a full-process quality management system compliant with ISO 9001, ensuring raw materials, production, and finished products meet Chinese GB standards, FDA, or EU regulations (if applicable).

提供每批次產品的檢測報告，并配合我司進行現(xiàn)場審核與抽樣復檢。

Submit batch-specific test reports and cooperate with our on-site audits and sample re-inspections.

2、食品安全（Food Safety）

遵守《中華人民共和國食品安全法》，實施HACCP體系，確保無非法添加或交叉污染風險。

Comply with China’s Food Safety Law, implement HACCP systems, and eliminate risks of illegal additives or cross-contamination.

食品接觸材料需符合GB 4806系列標準，并提供符合性聲明（DoC）。

Food contact materials shall comply with GB 4806 series standards and provide Declarations of Conformity (DoC).

三、反腐敗與誠信 / Anti-Corruption & Integrity

1、反賄賂（Anti-Bribery）

禁止以現(xiàn)金、禮品、娛樂活動等任何形式向我司員工、關聯(lián)方或政府官員行賄或提供不當利益。

Prohibit bribes or improper benefits (e.g., cash, gifts, entertainment) to our employees, affiliates, or government officials.

如實記錄所有交易，不得偽造賬目或進行“賬外交易”。

Maintain accurate transaction records; no false accounting or “off-the-books” transactions.

2、誠信經營（Ethical Business）

確保報價真實透明，禁止串通投標、商業(yè)欺詐或侵犯知識產權。

Ensure transparent pricing; prohibit collusive bidding, commercial fraud, or IP infringement .

保護我司商業(yè)秘密，未經授權不得披露技術、配方或客戶信息。

Protect our trade secrets; unauthorized disclosure of technology, formulas, or customer data is prohibited.

四、社會責任與人權 / Social Responsibility & Human Rights

1、用工規(guī)范（Labor Practices）

禁止雇傭童工（未滿16周歲）或強迫勞動，遵守《勞動法》關于工時、最低工資及社會保險的規(guī)定。

Prohibit child labor (under 16) or forced labor; comply with Labor Law on working hours, minimum wage, and social insurance.

提供安全的工作環(huán)境，定期進行職業(yè)健康檢查。

Provide safe working conditions and regular occupational health examinations.

2、人權保障（Human Rights）

尊重員工結社自由，禁止性別、種族、宗教歧視。

Respect freedom of association; prohibit gender, racial, or religious discrimination .

對移民工人提供平等保護，確保其護照及證件不被扣押。

Ensure equal protection for migrant workers; passports and documents shall not be withheld.

五、環(huán)境治理 / Environmental Management

遵守《環(huán)境保護法》，取得排污許可證，控制廢水、廢氣、固廢排放符合GB 31571等標準。

Comply with Environmental Protection Law; obtain discharge permits and control emissions (e.g., wastewater, exhaust) per GB 31571.

供應商應對其對氣候和環(huán)境的影響承擔全部責任，并應積極致力于減排和材料循環(huán)利用，以改善其業(yè)務和環(huán)境績效，從而保護氣候和環(huán)境。

The Supplier shall take full responsibility for its impact on climate and environment and shall proactively work towards emission reductions and circularity of materials to improve its business and environmental performance in order to protect the climate and environment.

制定碳減排計劃，優(yōu)先使用清潔能源（如太陽能、生物質能），年度碳排放數(shù)據需向我司報備。

Develop carbon reduction plans, prioritize clean energy (e.g., solar, biomass), and submit annual carbon emission data to us.

六、信息安全 / Information Security

建立數(shù)據保護制度，防止客戶信息、生產數(shù)據泄露。

Establish data protection policies to prevent leakage of customer information or production data .

與我司共享數(shù)據時，須通過加密傳輸或簽署保密協(xié)議（NDA）。

Encrypt data transmissions or sign NDAs when sharing information with us.

七、申訴機制Grievance Mechanisms

供應商必須向所有工人提供保密的投訴舉報途徑，并必須確保制定相關程序，以確保提出疑慮和真誠直言的工人受到保護，免遭報復。

he Supplier must provide means for confidential complaint reporting to all workers and must ensure that processes are in place to ensure that workers who raise concerns and speak up in faith are protected from retaliation.

供應商可通過金丹科技的合規(guī)舉報熱線或二維碼提出任何有關金丹科技工作人員任何與法律或金行為準則有關的不當行為。

Suppliers can report any improper conduct of Jindan Technology's employees related to laws or Jindan's Code of Conduct through Jindan Technology's compliance hotline or QR code.

八、公司治理 / Corporate Governance

供應商董事會或管理層須設立反腐敗、ESG專項監(jiān)督機制，并定期公開治理報告。

Establish board-level anti-corruption and ESG oversight mechanisms, and publish governance reports periodically.

發(fā)生重大訴訟、行政處罰或股權變更時，需在5個工作日內書面通知我司。

Notify us in writing within 5 working days of major litigation, administrative penalties, or ownership changes.

九、監(jiān)督與執(zhí)行 / Compliance & Enforcement

我司有權通過現(xiàn)場審核、第三方評估或文件抽查監(jiān)督供應商合規(guī)性。

We reserve the right to conduct on-site audits, third-party evaluations, or document reviews to monitor compliance.

嚴重違規(guī)行為（如質量造假、賄賂）將立即終止合作，并追究法律責任。

Material violations (e.g., quality fraud, bribery) will result in termination and legal action.

本行為準則規(guī)定的義務是金丹科技與供應商之間任何合同規(guī)定的供應商其他義務的補充。

The obligations under this Code of Conduct are additional to the Supplier’sother obligations pursuant to any contract between Jindan Technology and the Supplier.

對于供應商向金丹科技交付的任何貨物，無論雙方之間的任何合同是否終止或到期，本行為準則規(guī)定的義務均繼續(xù)有效。

The obligations under this Code of Conductshall continue in force in respect of any deliveries fromthe Supplier to Jindan Technology , regardless of the termination or expiry of any contract between the parties.
